VisionWave is moving to acquire Foresight Autonomous in a $17.5 million stock deal aimed at strengthening battlefield perception through artificial intelligence (AI).

The agreement gives the Delaware-based enterprise up to a 52 percent stake in the Israeli 3D sensing firm, valuing Foresight at about $34 million post-investment.

The deal rolls out in two stages, starting with a 46 percent stake worth roughly $15.5 million, followed by an additional 6 percent tied to a pilot deployment of the companies’ integrated platform.

VisionWave will also gain board representation as the deal advances. Both firms will remain publicly traded, pending regulatory and shareholder approvals.

AI-Driven Perception Stack

At the core of the merger is the combination of Foresight’s visible-light, thermal, and neuromorphic sensors with VisionWave’s AI and radio frequency-based detection systems.

The combined suite is designed to generate a real-time operational picture for warfighters, enhancing situational awareness across counter-drone, border security, and critical infrastructure protection missions.

VisionWave is also folding the tech into its STRATUM SENSE stack, alongside its recently acquired xClibre AI video analytics platform.

Together, the tools blend behavioral AI, electromagnetic detection, and optical tracking to identify, monitor, and screen threats in a single, unified approach.

“This strategic investment … combine our proven perception expertise with advanced AI technologies,” Foresight CEO Haim Siboni said.

“We believe that it positions Foresight to offer more sophisticated, AI-driven solutions for the growing defense and security markets, where real-time intelligent perception is increasingly critical.”
